Terms of Service

These Terms are a legal agreement between you and Organic Intelligence, Inc. (“Orgo,” “we,” “us”) governing your access to and use of our cloud computers, dashboard, APIs, SDKs, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

Agreement to these terms

By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and “you” includes that organization. If you do not agree, do not use the Service.

The service

Orgo provides on-demand cloud computers, virtual desktops that you and your AI agents can control programmatically and through the dashboard, along with related APIs and tools. Features, limits, and plans are described on our site and may change as we improve the Service.

Accounts and access

You must provide accurate information and keep your account secure. You are responsible for your API keys and for all activity under your account, including the actions of any agents you run. Notify us promptly of any unauthorized use. You must be at least 18 years old and able to enter into a binding contract.

Acceptable use

You agree not to use the Service to:

  • break the law or facilitate illegal activity;
  • send spam or carry out fraud, phishing, or other deceptive activity;
  • build, host, or distribute malware, or launch attacks such as denial of service, intrusion, credential stuffing, or unauthorized scanning against any system;
  • infringe intellectual property, privacy, or other rights;
  • attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its infrastructure, or circumvent usage limits or security controls;
  • abuse resources, for example through unauthorized cryptocurrency mining or workloads designed to degrade the Service for others; or
  • generate or distribute content that is unlawful or harmful, or that violates the acceptable use policies of any connected AI provider.

You are responsible for ensuring your agents and automated workloads comply with these Terms. We may suspend or remove workloads that violate them or that threaten the integrity of the Service or other users.

Your content

You retain all rights to the data, code, and content that you and your agents create or process using the Service (“Your Content”). We claim no ownership of it. You grant us a limited license to host, copy, transmit, and process Your Content solely to operate and provide the Service to you.

You are responsible for Your Content and for having the rights necessary to use it with the Service. We do not use Your Content to train AI models.

Third-party services and AI providers

The Service integrates with third-party providers, including AI providers such as Anthropic and OpenAI, and payment processing through Stripe. Your use of those services is subject to their terms. If you connect your own provider API keys, you contract with those providers directly and are responsible for their fees and policies.

Fees and billing

Paid plans and usage-based charges are billed as described at checkout and on our pricing page. Usage, including additional computers, storage, bandwidth, and AI usage, is billed as it is incurred. Where enabled, Orgo may automatically move you to a higher plan when that costs less than paying overages.

Fees are charged through Stripe. Unless required by law or stated otherwise, payments are non-refundable, and you are responsible for any applicable taxes. We may change pricing on a going-forward basis with notice.

Availability

We work to keep the Service reliable, but we provide it without any uptime guarantee unless you have a separate written agreement, such as an Enterprise plan, that says otherwise. We may perform maintenance and may modify or discontinue features.

Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or fail to pay, and we may discontinue the Service with reasonable notice. When access ends, your right to use the Service stops, and we may delete your data in line with the Privacy Policy.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that agent actions will produce any particular result.

Limitation of liability

To the maximum extent permitted by law, Orgo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Orgo harmless from claims, losses, and expenses, including reasonable legal fees, arising from Your Content, your use of the Service, the actions of your agents, or your violation of these Terms or applicable law.

Changes to these terms

We may update these Terms from time to time. Material changes will be communicated, and the “Last updated” date above will change. Continued use of the Service after changes take effect means you accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in San Francisco County, California will have exclusive jurisdiction over any dispute, except where applicable law requires otherwise.
